These Terms of Service (“Terms”) govern your access to and use of FlowMind’s website (https://flowmind.space) (the "Site") and our invite-only SaaS platform (collectively, the “Service”), provided by FlowMind (“FlowMind,” “we,” “us,” or “our”). By requesting an invite, registering for, or using the Service, you (“you,” “your,” or “User”) agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, then you may not access the Service.

1. Eligibility & Account Registration

1.1 Invite-Only Access. Access to the FlowMind Service is currently available by invitation only. You must complete our application form available on the Site and be approved by FlowMind, at our sole discretion, to receive an invitation link or access credentials.

1.2 Age & Capacity. You represent and warrant that you are at least 18 years old and possess the legal authority and capacity to enter into these Terms.

1.3 Account Information. You agree to provide accurate, current, and complete information when applying for access and, if granted access, when registering your account. You agree to promptly update your information if it changes. You are solely responsible for safeguarding your account credentials (such as passwords) and for all activities that occur under your account. You must notify FlowMind immediately of any unauthorized use of your account.

2. Service Description

2.1 What We Provide. FlowMind is an AI-driven Software-as-a-Service (SaaS) platform designed to enhance productivity through features such as [Mention 1-2 key feature types from your marketing, e.g., intelligent workflow automation, focus enhancement tools, visual progress tracking].

2.2 Service Modifications & Availability. We are constantly evolving the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. Features available during invite-only or beta periods may differ from future generally available versions and may be changed or removed.

3. License & Restrictions

3.1 Limited License. Subject to your compliance with these Terms, FlowMind grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal personal or business productivity purposes during the term for which you have authorized access.

4.1 Your Content. You retain all ownership rights in the data, information, text, graphics, or other materials you upload, submit, or store through the Service (“User Content”).

4.2 License to FlowMind. You grant FlowMind a worldwide, non-exclusive, royalty-free, sublicensable license to host, use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content solely as necessary for us to provide, maintain, secure, and improve the Service in accordanceance with these Terms and our Privacy Policy. We will not access your User Content except as necessary to provide the Service, respond to support requests, or comply with legal obligations.

4.3 Feedback. If you provide FlowMind with any suggestions, comments, ideas, or other feedback relating to the Service (“Feedback”), you hereby grant FlowMind a worldwide, perpetual, irrevocable, royalty-free, fully paid-up license to use, incorporate, and exploit such Feedback for any purpose, without restriction or compensation to you. Feedback is provided "as is" without warranty of any kind.

5. Payments & Fees

5.1 Subscription Plans. Access to the FlowMind Service may require a paid subscription following the initial invite-only period or for certain tiers of service.

5.2 Billing Cycle & Renewal. Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) as specified on the Pricing Page. Your subscription will automatically renew at the end of each billing cycle for the same duration unless you cancel it through your account settings prior to the renewal date. You authorize us to charge your designated payment method for the renewal term.

5.3 Payment Methods. We use a third-party payment processor (e.g., Stripe, Paddle) to handle payments. Accepted payment methods will be indicated during the checkout process. You must provide valid and current payment information.

5.4 Taxes. All stated fees are exclusive of applicable taxes (such as VAT, GST, sales tax). You are responsible for paying all such taxes associated with your subscription, unless you provide us with a valid tax exemption certificate.

5.5 Cancellation & Refunds. You can cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. We generally do not provide refunds or credits for partial subscription periods or unused time, unless required by law.

5.6 Suspension for Non-Payment. If your payment method fails or your account is past due, we reserve the right to suspend or terminate your access to the paid features of the Service after providing reasonable notice.

5.7 Price Changes. We reserve the right to change our subscription fees upon reasonable prior notice (e.g., 30 days). Any fee changes will apply to your subscription upon its next renewal after the notice period.

6. Termination

6.1 By You. You may terminate these Terms at any time by ceasing all use of the Service and deleting your account (if applicable, contact support for deletion during invite-only phase).

6.2 By FlowMind. We reserve the right to suspend or terminate your access to the Service, with or without cause, and with or without notice, for any reason, including, but not limited to, if we believe you have violated these Terms, pose a security risk, or if required by law. We will make reasonable efforts to provide notice before termination where practicable.

6.3 Effect of Termination. Upon termination, your license to use the Service ends immediately. We will have no obligation to maintain or provide your User Content and may delete it in accordance with our standard data retention practices, unless legally prohibited. Sections 4 (User Content & Feedback, specifically Feedback rights), 5 (to the extent fees are owed), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10 (Governing Law), and any other provisions that by their nature should survive, will survive termination.

7. Disclaimers & Warranties

7.1 “As-Is” Basis. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.2 No Guarantee. FLOWMIND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

7.3 Beta Disclaimer (If Applicable). If you are accessing features designated as "beta," "preview," "early access," or similar, you acknowledge that such features may contain bugs, errors, and other problems, are provided "as is," and may be modified or discontinued at our sole discretion.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLOWMIND, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FLOWMIND HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF FLOWMIND AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO FLOWMIND FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY (IF ANY).

9. Indemnification

You agree to defend, indemnify, and hold harmless FlowMind and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia, without regard to its conflict of law principles. You agree to submit to the exclusive personal jurisdiction of the courts located in Riga, Latvia for the purpose of litigating all such claims or disputes.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice prior to the new terms taking effect (e.g., by posting a notice on the Site or Service, or sending an email). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
